Tokenization, RWAs and token types

Tokenization is representing ownership of an asset as a token on a blockchain. The asset can be digital, but increasingly the interest is in real-world assets (RWAs) — things that exist off-chain.
The idea
If a token can reliably represent a claim on something — a government bond, a property, a share, a commodity, an invoice — then that asset could be traded, divided into small fractions, and settled on a blockchain, potentially faster and around the clock.
Real-world assets (RWAs)
Tokenized RWAs that attract serious attention include tokenized treasury bills, money-market funds and bonds. The promise is fractional ownership and easier transfer; the catch is that a token is only as good as the legal link to the underlying asset and the trustworthiness of whoever holds and redeems it. On-chain transparency does not remove off-chain counterparty risk.
Utility tokens vs security tokens
A crucial distinction — legally and practically:
- A utility token is meant to provide access to a product or service (paying gas, using a platform), not to be an investment in someone else's enterprise.
- A security token represents an investment — a stake, a claim on profits, or a debt — and in most jurisdictions falls under securities law.
The line between them is heavily contested. Regulators (including in Brazil and the United States) have repeatedly argued that tokens marketed as "utility" are really securities, which carries legal consequences for issuers and sometimes for holders. How a token is labelled does not decide its legal status — regulators look at substance over name. Treat regulatory classification as an unsettled, jurisdiction-specific risk.
